Fully Diluted Valuation (FDV) matters because market capitalization can make a crypto project appear smaller than its economic valuation when a large portion of its token supply is still locked, reserved, or scheduled for future release. Market cap uses the tokens currently circulating, while FDV estimates the value of the project if its relevant maximum supply were in circulation at the current token price. The gap between the two therefore provides an important signal about future dilution, token unlocks, and the amount of demand a project may need to sustain its valuation.

What Is Market Cap?

Market capitalization is the most familiar valuation metric in crypto. It is calculated by multiplying the current token price by circulating supply:
Market Cap = Current Token Price × Circulating Supply
If a token trades at $2 and 50 million tokens are circulating, its market cap is $100 million.
Market cap describes the current market valuation based on publicly circulating supply. CoinMarketCap defines circulating supply as the approximate amount of coins or tokens available in the market and uses circulating market capitalization for cryptocurrency rankings.²
This distinction is important because circulating supply does not necessarily represent the project's eventual supply. Tokens may remain locked because they belong to founders, early investors, treasury reserves, ecosystem incentives, or future emissions.

What Is FDV?

Fully Diluted Valuation estimates the token's valuation if the relevant maximum supply were circulating at the current price:
FDV = Current Token Price × Maximum Supply
For example, suppose a project has:
  • Token price: $2
  • Circulating supply: 50 million
  • Maximum supply: 500 million
  • Market cap: $100 million
  • FDV: $1 billion
The project therefore has a 10× FDV-to-market-cap relationship. Only 10 percent of the maximum supply is currently represented in circulating market capitalization.
CoinMarketCap currently defines FDV as maximum supply multiplied by price, while noting that crypto valuation terminology can differ depending on whether circulating, total, unlocked, or maximum supply is being used.

Why the Market Cap–FDV Gap Matters

The most useful information is not simply whether FDV is high or low. It is how FDV compares with market cap and when additional tokens are scheduled to enter circulation.
A simple ratio is:
FDV ÷ Market Cap = Dilution Multiple
Using the example above:
$1 billion ÷ $100 million = 10×
That means the project's fully diluted valuation is ten times its current market capitalization.
Another useful measurement is the circulating-to-maximum-supply ratio:
Circulating Supply ÷ Maximum Supply × 100
In the example:
50 million ÷ 500 million = 10%
Only 10 percent of the potential supply is currently circulating.
A large difference does not automatically mean that a token is overvalued. It does, however, mean that investors should investigate the project's token-release schedule. CoinGecko notes that locked, vested, or unissued tokens can create future inflation risk, while changes in circulating supply can result from vesting, mining rewards, staking, burns, and other mechanisms.

The Data Points to Check

Before interpreting FDV, examine:
  1. Circulating supply — How many tokens are publicly available?
  2. Total supply — How many tokens currently exist?
  3. Maximum supply — How many tokens can ultimately exist?
  4. Unlock schedule — When will locked tokens become transferable?
  5. Allocation — What percentage belongs to investors, teams, treasury, and ecosystem programs?
  6. Emission rate — How quickly is new supply entering circulation?
  7. Trading liquidity — Can the market absorb additional selling without substantial price impact?
These figures turn FDV from a simple valuation number into a tokenomics risk indicator.

A High FDV Is Not Automatically Bearish

A high FDV-to-market-cap ratio should be treated as a question rather than a verdict.
Consider two projects with identical $100 million market caps.
Project A has a $120 million FDV, while Project B has a $2 billion FDV.
Project A has relatively little additional supply implied by its valuation. Project B has a much larger future supply overhang. If both projects experience identical demand growth, Project B may require substantially more new demand to absorb future token issuance without putting pressure on price.
This is why FDV can reveal information that market cap alone misses.
CoinMarketCap has specifically highlighted the relationship between FDV, token emissions, and potential sell-side pressure. It notes that a high FDV relative to market cap can become more significant when substantial token releases are scheduled.
The timing of dilution matters as much as its size. A project with a large FDV but token unlocks spread across many years may face a different risk profile from a project with major investor, team, or treasury unlocks occurring within several months.
FDV should therefore be analyzed alongside the project's adoption, revenue or protocol activity where applicable, liquidity, treasury structure, token utility, and demand growth.

How Should Investors Use FDV vs Market Cap?

The practical decision is not to choose FDV instead of market cap. Use both because they answer different questions.
Market cap answers:
How large is the token's current circulating valuation?
FDV asks:
What valuation is implied if the relevant future supply is priced at today's token price?
The relationship between them provides a framework for evaluating dilution.
A useful decision process is:
Market Cap → FDV Gap → Unlock Schedule → Supply Pressure → Demand Growth → Valuation Decision
A project with a modest FDV gap, limited upcoming unlocks, strong demand growth, and deep liquidity may have a more manageable dilution profile.
A project with a very large FDV gap, concentrated insider allocations, substantial near-term unlocks, weak demand growth, and limited liquidity deserves greater scrutiny—even if its current market cap appears attractive.
One important caveat is that FDV is hypothetical, not a prediction of what the token will actually be worth after all supply enters circulation. Applying today's price to future supply assumes that the price remains unchanged despite changes in supply, demand, liquidity, and market conditions. CoinGecko similarly describes FDV as a hypothetical valuation rather than a guaranteed future market capitalization.

Final Decision Framework

Market cap tells you where the token is today. FDV helps you understand where its current price places the project if future supply is considered.
For that reason, comparing FDV with market cap is particularly valuable when evaluating newly launched tokens, projects with low initial circulating supply, long vesting schedules, substantial ecosystem emissions, or large investor and team allocations.
The strongest analysis does not ask, “Is the FDV high?” It asks:
“Is the current valuation justified by circulating supply, future dilution, token unlocks, and the amount of demand required to absorb that supply?”
That is the central reason FDV matters: market cap measures the present supply-based valuation, while FDV exposes the valuation pressure that future supply may create.
